Important: By placing an order or entering into a service agreement with Techfident Limited you agree to be bound by these Terms & Conditions. Please read them carefully. These Terms supersede all previous versions.
1. Definitions
In these Terms & Conditions the following definitions apply:
- “Company” / “Seller” means Techfident Limited, registered in England & Wales (No. 11142420), VAT No. 285 975 046, whose registered office is at Studio 10 New Mead Barn, Wickham Hall, Hadham Road, Bishops Stortford, Hertfordshire CM23 1JG.
- “Customer” / “Buyer” means the person or business purchasing goods or services from the Company.
- “Contract” means any contract for the supply of Goods or Services by the Company to the Customer.
- “Goods” means hardware, components, peripherals, software licences and any other products supplied.
- “Services” means managed IT support, cyber security, Microsoft 365, video conferencing, or any professional services provided by the Company.
- “Business Day” means any day other than a Saturday, Sunday or UK public holiday.
2. Formation of Contract
A Contract is formed when the Company issues a written order confirmation or commences performance of the Services, whichever is earlier. Quotations are valid for 30 days unless stated otherwise and do not constitute an offer. The Company reserves the right to decline any order at its discretion.
These Terms prevail over any terms the Customer purports to apply unless expressly agreed otherwise in writing by a director of the Company.
3. Prices & Payment
- All prices are quoted exclusive of VAT unless stated otherwise. VAT will be added at the prevailing UK rate.
- Prices for Goods are as shown on the website or confirmed quotation at the time of order. Prices may change without notice prior to order acceptance.
- Goods are not supplied on a trial basis. Customers are responsible for verifying suitability and compatibility before purchasing.
- For consumer purchases, payment is required at point of order. For business accounts, payment terms are net 15–30 days from invoice date unless agreed otherwise in writing.
- Late payment: interest will accrue on overdue invoices at the rate of 8% per annum above the Bank of England base rate pursuant to the Late Payment of Commercial Debts (Interest) Act 1998. The Company reserves the right to suspend services pending payment.
- The Company reserves the right to require a deposit or pre-payment for bespoke or high-value orders.
4. Delivery
- Delivery charges will be confirmed at point of order. Risk passes to the Customer upon delivery.
- Credit/debit card orders may only be shipped to the cardholder’s registered address unless adequate proof of alternative delivery is provided.
- Delivery dates are given in good faith and do not constitute contractual commitments. The Company shall not be liable for delays caused by circumstances beyond its reasonable control.
- If delivery is attempted and the Customer is unavailable, a re-delivery charge may apply.
- Upon delivery, the Customer must inspect Goods and note any shortage or damage on the delivery note. Damaged Goods should be refused. Shortages must be reported in writing within 3 Business Days of delivery.
5. Cancellation & Returns — Consumer Customers
The following rights apply to consumers purchasing Goods for personal use in addition to their statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
- Cancellation before despatch: customers may cancel at any time before despatch without charge by written notice to hello@techfident.co.uk or Customer Services at the above address. Telephone cancellations are not sufficient.
- Statutory right to cancel: consumers have 14 days from delivery to cancel without reason. The customer must inform us within this period.
- Returns: Goods must be returned within 14 days of cancellation notice, in original condition with all packaging, media and accessories. The customer bears the cost of return postage.
- Refunds: the Company will refund the cost of Goods plus standard delivery within 14 days of receiving returned Goods. The Company may deduct an amount reflecting any diminishment in value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the Goods.
- Exceptions: opened software, bespoke configured equipment, and items not in resaleable condition are excluded from the returns policy unless faulty or misdescribed.
6. Cancellation & Returns — Business Customers
The Consumer Contracts Regulations do not apply to business purchases. The following terms apply:
- Cancellation after acceptance is at the Company’s sole discretion. A cancellation charge of up to 25% of the order value (minimum £25) may apply.
- Unwanted returns will only be accepted at the Company’s discretion and are subject to a restocking charge of 25% of the purchase value (minimum £25).
- Software returns will not be accepted unless the goods are faulty, misdescribed, or the copyright seal is intact.
- Defects or non-conformity must be notified in writing within 3 Business Days of delivery.
7. Warranty
- Unless otherwise stated, Goods carry a 12-month warranty from date of purchase. Some items (e.g. batteries) carry a 90-day warranty. Manufacturer warranties apply where applicable.
- To make a warranty claim, contact Customer Services by email or on 0203 488 3282. An RMA reference number will be issued.
- The warranty does not cover: fair wear and tear; accidental, wilful or liquid damage; damage from abnormal working conditions; modification; misuse; failure to follow manufacturer instructions.
- For business customers: on-site warranty is the customer’s responsibility to claim directly with the manufacturer. The Company will not be liable for failure of a manufacturer to provide on-site repair.
- Items returned as faulty but found to have no fault may be subject to a testing charge at cost to the Company.
8. Services
- Managed IT, cyber security, Microsoft 365 and other services are provided under a separate Service Level Agreement (SLA) or Statement of Work (SOW) agreed in writing between the parties.
- The Company will provide Services with reasonable skill and care in accordance with the applicable SLA.
- The Customer shall provide reasonable access, cooperation and information necessary for the Company to perform the Services.
- Services provided on a time & materials basis will be invoiced at the rate agreed in the relevant SOW.
9. Intellectual Property
All intellectual property rights in materials created by the Company in the performance of Services vest in the Company unless expressly transferred in writing. The Customer is granted a non-exclusive licence to use such materials for the purposes for which the Services were provided.
10. Limitation of Liability
- Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; any other liability that cannot lawfully be excluded.
- Subject to the above, the Company’s total liability in contract, tort (including negligence), breach of statutory duty or otherwise arising out of or in connection with the Contract shall not exceed the total amount paid by the Customer under the Contract in the 12 months preceding the claim.
- The Company shall not be liable for any indirect, consequential, incidental or special loss, including loss of profit, revenue, data, business or goodwill, whether foreseeable or not.
11. International Orders, Export and VAT
11.1 All prices quoted by Techfident Limited are exclusive of VAT unless expressly stated otherwise. VAT will be charged at the rate applicable under UK law at the time of invoicing.
11.2 Where goods or services are supplied to customers located outside the United Kingdom, the VAT treatment will be determined in accordance with prevailing HMRC legislation and guidance applicable to the nature of the supply.
11.3 Supplies of goods exported outside the United Kingdom may be zero-rated for UK VAT purposes where Techfident Limited is satisfied that the goods have left, or will leave, the UK within the required timeframe and that satisfactory evidence of export can be obtained. Where such conditions cannot be confirmed, UK VAT at the standard rate will be applied.
11.4 Supplies of services to business customers located outside the United Kingdom may fall outside the scope of UK VAT under the reverse charge mechanism. The customer accepts responsibility for accounting for any VAT or equivalent tax obligations arising in their own jurisdiction. Techfident Limited makes no representation as to the customer’s local tax liability.
11.5 For physical goods shipped to destinations outside the United Kingdom, the customer is solely responsible for all import duties, customs charges, local taxes and any other levies imposed by the destination country or its customs authorities. These costs are not included in any quotation or invoice issued by Techfident Limited.
11.6 Customers claiming exemption from UK VAT on the basis of their overseas status or VAT registration may be required to provide a valid VAT registration number and such other evidence as Techfident Limited or HMRC may reasonably require. Techfident Limited reserves the right to issue a revised invoice including UK VAT at the standard rate where satisfactory evidence is not provided.
11.7 Techfident Limited’s liability for any loss, duty, tax or charge arising from the international supply of goods or services shall be limited in accordance with the general limitations set out in these Terms and Conditions.
12. Title to Goods
Title and ownership in Goods remains with the Company until payment in full has been received. Until title passes, the Customer holds the Goods as bailee and must keep them identifiable as the Company’s property. The Company may enter premises to repossess Goods where payment is outstanding.
13. Data Protection
Both parties shall comply with applicable data protection law. Where the Company processes personal data on behalf of the Customer in connection with managed IT services, the parties shall enter into a Data Processing Agreement as required by UK GDPR Article 28. 14. Confidentiality
Each party agrees to keep the other’s confidential information secret and not to use or disclose it except as necessary to perform obligations under the Contract or as required by law. This obligation survives termination of the Contract for 3 years.
15. Force Majeure
Neither party shall be liable for failure to perform obligations to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, government action, pandemic, industrial dispute, component shortage, cyber attack, or failure of a utility. The affected party shall notify the other promptly and use reasonable endeavours to resume performance as soon as practicable.
16. Termination
Either party may terminate the Contract immediately on written notice if the other: (a) commits a material breach not remedied within 14 days of written notice; (b) becomes insolvent, enters administration, receivership or liquidation; or (c) ceases or threatens to cease trading. On termination, all sums due become immediately payable.
17. Governing Law & Jurisdiction
These Terms and all Contracts made under them are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, save that the Company reserves the right to bring proceedings in any court of competent jurisdiction to recover sums owed.
18. Variation
The Company may vary these Terms at any time by posting updated Terms on its website. The Terms applicable to any order are those in force at the date of order acceptance.
